IMEC is a company limited by guarantee under the UK Companies Acts and it was incorporated on 22nd December 2004. To view the Memorandum and Articles of Association of IMEC Ltd please click here. The Articles of Association were revised in January 2007.
Members may be Full Members or Associate Members. Those eligible for Full Membership will be:
“persons who employ or are responsible for the employment of seafarers, including shipowners, ship operators, shipmanagers, or crew managers, provided that they employ seafarers on their own behalf and/or have the power and authority to ensure that the terms and conditions of employment of seafarers engaged on ships which such persons own, manages, or operates are being observed;
- who are in the reasonable opinion of the Board, of good reputation;
- who have agreed to abide by the terms and conditions of collective bargaining agreements applicable to ships covered by IBF Special Agreements; and
- who have agreed to abide by the terms and conditions of membership of IMEC including the obligations of members specified in Article 3 .
Obligations of Members
Full Members must:
- provide IMEC with such general statistical data as the Board may from time to time require, which IMEC is permitted to use for the purposes of its objects;
- provide IMEC with, and keep updated, a list of vessels owned, managed or operated by them which are covered by IBF Special Agreements, which list IMEC is permitted to use for the purposes of its objects;
- ensure that the IBF Special Agreements are complied with in relation to the vessels covered by such Agreements.
Members must pay within thirty days of receipt of an invoice such annual subscriptions and entry fees as may from time to time be determined by the General Assembly.
Applications for membership must be supported by references from at least two existing IMEC Members.
Persons who are not eligible for Full Membership may, provided they are regarded as “of good reputation” be eligible for Associate Membership.
Associate Members must provide IMEC with such general statistical data as the Board may from time to time require, which IMEC is permitted to use for the purposes of its objects.
